1. Agreement to Terms

By accessing or using Gather (the "Service"), operated by Kinpo LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Description of Service

Gather is an event planning and coordination platform that allows users to create, manage, and participate in social events such as supper clubs, pop-up dinners, potlucks, and private gatherings. The Service may include features for event creation, guest invitations, item sign-ups, payment collection, and communication between hosts and guests. Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

3. Eligibility

You must be at least 18 years old to create an account or use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

4. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information during registration and to update such information as needed. You must notify us immediately of any unauthorized use of your account.

5. User Conduct

You agree not to: (a) use the Service for any unlawful purpose or in violation of any applicable law; (b) post or transmit content that is defamatory, obscene, fraudulent, or otherwise objectionable; (c) impersonate any person or entity; (d) interfere with or disrupt the Service or its infrastructure; (e) harvest or collect user data without consent; (f) use the Service to send unsolicited communications or spam; or (g) attempt to gain unauthorized access to any portion of the Service.

6. Event Hosting and Participation

Hosts are solely responsible for the events they create, including the accuracy of event details, the legality of activities at those events, and compliance with any applicable local laws, permits, or regulations. Gather is a coordination tool and does not organize, endorse, sponsor, or assume liability for any user-created event.

7. Payments and Fees

The Service may facilitate payment collection between hosts and guests for event-related costs such as tickets, contributions, or shared expenses. All payments are processed through third-party payment processors. Kinpo LLC is not a party to financial transactions between users and does not hold or escrow funds unless explicitly stated. We may charge service fees for payment processing, which will be disclosed prior to any transaction.

8. Refund Policy

Refund terms for paid events are set by the event host at the time of event creation. Hosts may configure refund eligibility, refund amounts (as a fixed dollar amount or percentage), and a cancellation deadline. Guests are responsible for reviewing the refund policy displayed on the event page before making payment. Kinpo LLC does not guarantee refunds and is not responsible for disputes between hosts and guests regarding refunds. In the event of a dispute, we may, at our sole discretion, assist in mediation but are under no obligation to do so.

9. Intellectual Property

All content, trademarks, logos, and intellectual property associated with the Service are owned by Kinpo LLC or its licensors. You retain ownership of content you submit through the Service, but you grant Kinpo LLC a non-exclusive, worldwide, royalty-free license to use, display, and distribute such content solely in connection with operating and improving the Service.

10. Third-Party Services

The Service may integrate with or contain links to third-party services, including payment processors, mapping services, and communication tools. We are not responsible for the availability, accuracy, or practices of any third-party service. Your use of third-party services is governed by their respective terms and policies.

11. Disclaimers

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Kinpo LLC does not warrant that the Service will be uninterrupted, error-free, or secure.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Kinpo LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total aggregate liability for any claims arising under these Terms shall not exceed the greater of fifty dollars (USD $50) or the total fees you have paid to Kinpo LLC in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Kinpo LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 11, 12, 13, and 15.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. Any disputes arising under these Terms shall be resolved through binding arbitration administered in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or to participate in a class action.

16. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via the Service or by email. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
